Although Springline is largely industry agnostic and open to looking at just about any industry if the opportunity is right, we will be targeting industries with the below characteristics:

  • Overall industry growing at or above the U.S. economy's growth rate
  • Fragmented industry with no one company controlling majority market share or dictating competitive dynamics
  • Non-commoditized products
  • Low cyclicality
     

Company

Springline is interested in exploring opportunities with established companies with a stable track record and profitability.  Below are some example characteristics of what we are looking for with the caveat that these are approximations and we are certainly willing to have an initial conversation with companies outside of these metrics:

  • Revenue between ~$3 million and ~$40 million
  • At least 3 years of growth and profitability (no turnarounds or startups)
  • Profit (EBITDA) Margins of at least 15%
  • Based in the United States

People

Culture is one of the most important factors in a company's long term-success and one of the hardest aspects to manage once it is established.  Because people drive a company's culture Springline will be focused on finding the right cultural fit.  Beyond cultural fit (which is difficult to summarize in a bulleted list), Springline will be looking for the below People components:

  • Owner-Manager that is looking to transition out of the business
  • Strong in-place middle management team with a long-term mindset
  • Low employee turnover
  • Sufficient talent in the surrounding communities to enable hiring for growth
